Terms and Conditions

Last updated

Draft template, not legal advice. Values in [brackets] still need to be filled in, and this text must be reviewed before Thruly sells anything.

These Terms of Use govern your access to and use of the Thruly desktop app, the website at thruly.app, and any plan you buy (the "Services"). They form an agreement between you and Thruly ("Thruly", "we", "us" or "our"). By using the Services, you agree to these terms. If you don't agree, please don't use Thruly.

Purchases through Paddle (Merchant of Record)

Paddle.com sells our plans as our reseller and Merchant of Record, and we license the Thruly app to you. Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders: it sells the order to you, takes the payment, handles sales tax and VAT, issues your receipt, and deals with order questions and returns.

Purchases are also covered by Paddle's Buyer Terms. If Paddle's Buyer Terms and these terms conflict about a payment, Paddle's Buyer Terms apply.

Plans and licence

  • Free: the core of Thruly, free to use.
  • Pro: a one-time payment for the Pro features, for your personal or work use on your own computers.
  • Watch: a subscription, billed monthly or yearly in advance.
  • Founder Lifetime: a one-time payment for the first 500 buyers, giving lifetime access to the plans described on the Pricing page at the time you buy.

We give you a personal, non-exclusive, non-transferable licence to use the app under the plan you have. You may not resell, sublicense or share a paid licence.

Features marked "coming soon" or "later" are not part of a purchase until they are released.

Subscriptions (Watch)

  • A Watch subscription renews automatically at the end of each month or year until you cancel.
  • You can cancel at any time. You keep access until the end of the period you've paid for.
  • Prices include or add tax as shown at checkout. If the price changes, we'll tell you before your next renewal, and you can cancel before it applies.

Refunds are covered by our Refund Policy.

Acceptable use

You agree not to:

  • use Thruly for anything unlawful or fraudulent, or to send spam;
  • infringe anyone's intellectual property or privacy;
  • interfere with our services' security, for example by spreading malware, probing for weaknesses or scraping our services;
  • copy, modify, or reverse engineer the app except where the law allows it, or remove its notices.

Your screen

Thruly changes how windows look on your screen. When you share your screen, or someone can see it, they may see what's behind the window you're working in. You're responsible for what you show.

Ownership

We own Thruly, including the app, the website, the name and the logo, and all intellectual property in them. These terms don't give you any rights to them beyond the licence above.

No guarantee

We work hard to make Thruly safe and reliable, but it's provided "as is". We don't promise it will be uninterrupted or error-free, or that it will work with every app.

Limits on our liability

As far as the law allows, we aren't liable for indirect or consequential losses. Our total liability to you is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that the law doesn't allow us to limit, or your rights as a consumer.

Suspension and ending

We may suspend or end your access if you seriously or repeatedly break these terms, don't pay, or create a security or fraud risk. You can stop using Thruly at any time.

Changes to these terms

We may update these terms. We'll change the date at the top and, for important changes, tell paying customers by email before they apply.

Law

These terms are governed by the laws of Nigeria. If you're a consumer, this doesn't take away the protection of the mandatory consumer laws of the country where you live.

Thruly is operated by Pelumi Peter, Lagos, Nigeria. Questions about these terms: hello@thruly.app.
